Terms and Conditions
1. Introduction
1.1. These Terms and Conditions govern the relationship between T.S.C.A and the client for the provision of cybersecurity consultant services, including policy development, management, mentorship, job placement, consulting, and assessments (collectively referred to as "Services").
2. Service Scope
2.1. The specific scope of Services will be defined in a separate agreement or statement of work (SOW) between the Company and the Client.
3. Payment and Fees
3.1. Payment terms, including fees, billing frequency, and payment methods, will be outlined in the SOW or as agreed upon separately.
4. Confidentiality
4.1. Both parties agree to maintain the confidentiality of any sensitive information disclosed during the course of the Services.
5. Intellectual Property
5.1. Any intellectual property created during the provision of Services will be outlined in the SOW. The ownership and rights to such intellectual property will also be specified therein.
6. Client Responsibilities
6.1. The Client agrees to provide the necessary access to information, resources, and personnel to facilitate the delivery of Services.
7. Termination
7.1. Either party may terminate the agreement with written notice if the other party breaches the terms of the agreement. Provisions for termination without cause may also be included in the SOW.
8. Liability
8.1. The Company's liability for any damages arising from the Services shall be limited to the fees paid by the Client for those Services.
9. Governing Law and Jurisdiction
9.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of Maryland. Any disputes will be subject to the exclusive jurisdiction of the courts in the state of Maryland.
10. Miscellaneous
10.1. These Terms and Conditions constitute the entire agreement between the parties and supersede all prior agreements, whether oral or written.
10.2. Amendments to this agreement must be in writing and signed by both parties.
10.3. Any waiver of a breach of these terms shall not constitute a waiver of any other provision or subsequent breach.
